STANDARD TERMS AND CONDITIONS OF SALE

The sale of products and services by Phono Press International (hereinafter referred to as the "Company") to the Customer is regulated by the following General Conditions of Sale; any modification to the same must be in writing and authorized, always in writing, by the Company.

1) Transport and delivery of goods. The Customer declares to be informed that there are specific insurance policies to cover damage caused during transport of the goods, and that any subscription to them involves a separate outlay, to be agreed with the Company, which is in addition to the normal shipping costs. It therefore releases the Company from any claim regarding deliveries of damaged goods, even partially, partial deliveries, etc.

2) Payment terms/delayed payments. The goods are the property of the Company until full payment is made by the Customer. Only payments made directly to the company are recognized. Unless explicitly provided for by the payment terms granted on the invoice, the goods must be paid for in full by the Customer before being shipped or collected.

3) If a payment is not made by the due date, based on the Company's accounting results, the Company is authorized to charge the Customer legal interest based on Legislative Decree no. 232 of 9 October 2002 of the Republic of Italy.

4) Copyright. Each title sent by the Customer to the Company must be accompanied by the "SIAE Work Sheet" or equivalent document proving the actual authorization to manufacture the quantity of Phonograph Records ordered. This authorization must be issued by an Authority belonging to the BIEM (in the territories of competence) or by an equivalent Authority with the same title. Company must be indicated, in this document, as the exclusive "Manufacturer" of the media. In case of doubt, Company reserves the right to acquire any further information or documentation before proceeding with manufacturing.

5) Media retention. Company reserves the right to retain, at least temporarily, the supports manufactured - even if already paid for by the Customer - in the event of receipt of written complaints from SIAE, organizations belonging to the BIEM or third parties, regarding the content of media and/or infringement of Copyright law.  

6) Properties of metal phonograph matrices and any graphic parts not collected/shipped with the records. If for any reason the phonograph matrices and/or the graphic parts printed in excess of a specific title are not requested by Customer at the time of the first supply, Company reserves the right to dispose of them starting from the expiry of the 2nd year following the date of invoicing of the same. By agreeing to these General Terms and Conditions of Sale, Customer declares to renounce any claim of material or economic nature in this sense.

7) Delivery time of goods. Company undertakes to collaborate actively with Customer to get as close as possible to the requested delivery date. Customer, by accepting these General Conditions of Sale, recognizes that, despite this, the final delivery date of the goods may also be influenced by events independent of the Company, such as, by way of example but not limited to, delays in the supply of raw materials, courier delays, strikes, and other unforeseen events; therefore releases the Company from any claim for compensation in this sense.

8) Jurisdiction. These Terms and Conditions of Sales are subject to the Italian law. For all disputes arising from them, the competent court is that of Padua, Italy.
